Wiley Rein Represents The Marvin Group in Sale of ADI to Precision Castparts Corp.

Wiley Rein is representing The Marvin Group in the company’s sale of its Aerospace Dynamics International (ADI) subsidiary to Precision Castparts Corp.  The parties announced the transaction on March 20.

A Wiley Rein team led by William A. Roberts, III, and Kay Tatum is serving as legal advisor to The Marvin Group, a privately held company based in Inglewood, CA.  Mr. Roberts co-chairs the firm’s Government Contracts Practice.  Ms. Tatum is chair of the Corporate Practice and a partner in the Government Contracts Practice.

Subject to regulatory approvals, the transaction is expected to be completed during the second quarter of calendar year 2014.

ADI is one of the premier suppliers in the aerospace industry, operating a wide range of high-speed machining centers.  With a long industry history, ADI has developed particular expertise in large complex components, hard metal machining, and critical assemblies.  The company has strong positions across high growth commercial platforms, including a significant presence on the Airbus A350.

Wiley Rein’s Corporate Practice represents acquirers and sellers in the structuring, negotiation, documentation, and closing of mergers, acquisitions, divestitures, exchanges, and joint ventures.  The Group has the depth to complete large, complex transactions, and the breadth to efficiently complete a high volume of deals, whether small or large.
