Kate's practice encompasses a variety of regulatory, employment, and corporate matters. She counsels media clients on a wide array of issues, including facilities modifications; assignments and transfers; ownership and attribution rules; Equal Employment Opportunity (EEO); programming content, including indecency and broadcast and social media contests; lottery, tobacco, and alcohol advertising; political advertising; closed captioning; and children's programming. Kate also counsels clients on issues related to employment, independent contractor and separation agreements, and assists employers in responding to discrimination-related complaints before the Equal Employment Opportunity Commission, state agencies, and state and federal courts. In addition, she assists clients with contract drafting and negotiation, contract interpretation issues, mergers and acquisitions and related transactional matters, including due diligence.

Representative Experience

  • Advises commercial and non-commercial broadcast station licensees and media investors on a wide range of Federal Communications Commission (FCC) regulatory compliance matters, including initial licensing, facilities modifications, assignments and transfers, ownership and attribution rules, EEO, and sponsorship identification.
  • Counsels media clients on issues related to programming and advertising content, including broadcast and social media contests; lottery, tobacco, and alcohol advertising; indecency; political advertising; closed captioning; and children's programing.
  • Assists clients in responding to FCC inquiries and notices of violation as well as viewer complaints.
  • Advises broadcast clients on FCC regulatory matters and prepares and submits regulatory filings.
  • Researches, drafts, and prepares comments and pleadings to be submitted in FCC proceedings addressing a variety of communications issues.
  • Assists clients with contract drafting and negotiations and counsels clients on contract interpretation issues.
  • Assists broadcast and corporate clients with mergers and acquisitions and related transactional matters, including due diligence and contract drafting.
  • Co-authored book chapter regarding an employer's ability to regulate the off-duty online/social media conduct of its employees.
  • Performs investigations into race, age, gender, and other discrimination charges, and drafts position statements for federal and state EEO agencies. Drafts and counsels on complex employment and non-competition agreements.
  • Drafts briefs and motions before federal and state courts.
  • Assists in managing the preservation, collection, and production of electronically stored information (ESI).
  • Successfully obtained U-Visas for a Spanish-speaking pro bono client and her daughter.
